2. User

The word "User" means a person who accepts the Terms and Conditions of Use (as may be amended from time to time) set out herein and who is authorised by Zurich Life to have access to this section of Zurich Life's website with a password. The words "User" and "You" may be used interchangeably in these Terms and Conditions of Use depending on the context and have the same meaning.

3. Password

The password must be used strictly in accordance with the Conditions of Use.

The password will be known only to the User and must not be disclosed in any way whether directly or indirectly by the User to any other person. You agree that you are responsible for the security and use of your password and You will take all reasonable steps to ensure that your password is kept confidential and secure. You will not allow any other person to access this section of the website using your password.

Should the User suspect that the password has become known to another person, the User shall immediately contact Zurich Life who will arrange for the password to be cancelled and a new one issued.

In the event of breakdown or malfunction of any system or where security so demands, Zurich Life shall be entitled without incurring any liability to the User to temporarily suspend the online service for such reasonable period as may be required to remedy the defect or resolve the security risk.

Section B - Confidentiality and Non-disclosure Terms

The Receiving Party is the User who is an authorised person authorised by Zurich Life to have access to this part of the website with a password. (Please refer to Terms and Conditions of Use if you require further information).

Where appropriate each of these parties will be thereafter individually referred to as "Communicating Party" and/or "Receiving Party", and collectively referred to as "Parties".

WHEREAS

The Parties wish to carry on confidential discussions and/or negotiations for the purpose of a business arrangement ("Project") and;

The Parties wish to reciprocally protect and safeguard their respective proprietary rights in respect of the Confidential Information and wish to lay down their respective rights and obligations in relation hereto in the present Agreement.

IT IS AGREED AS FOLLOWS:

1. Definition

"Confidential Information" denotes any and all information relating to and including but not limited to all information available via the password protected section of the Communicating Party's website as well as any intellectual and industrial property rights contained therein and/or in relation thereto, title to which belongs to the Communicating Party or for which the Communicating Party obtained a right to disclose or divulge.

2. Obligations and rights of the Parties

2.1 The Parties mutually commit to keep in the strictest confidence the Confidential Information received via the password protected section of the Zurich Life website in whatever form and expressly agree to use the Confidential Information for the sole and exclusive purpose described or referred to in this Agreement.

2.2 The Parties agree not to divulge or disclose, either directly or indirectly, in whatever form or by whatever means, the Confidential Information or any part thereof to third parties (with the exception of providing specific policyholder information to that policyholder) without the prior written approval of the Communicating Party.

2.3 The Parties hereby agree that each Party has the right to disclose or give access to the Confidential Information and/or any part thereof to its employees to the extent such employees have a need to know for the purpose of carrying out their duties.

2.4 The Parties hereby agree that each Party has the right to disclose or give access to specific policyholder information and/or any part thereof to its policyholders to the extent such policyholders have a need to know or wish to exercise their rights of access.

2.5 The above mentioned confidentiality obligation contained herein shall commence from the date of execution of this Agreement and shall survive the termination of this Agreement.

2.6 The confidentiality and non-disclosure obligation contained herein shall not apply to Confidential Information:

Which, at the time of communication to the Receiving Party was publicly available or in the public domain
Which the Receiving Party has proved to the reasonable satisfaction of the Communicating Party, after communications become publicly available through no breach of its obligations under this Agreement by the Receiving Party;
Which has been independently developed by the Receiving Party without the benefit of data received from the Communicating Party or
Which the Communicating Party agrees in writing may be disclosed.
If only a portion of any Confidential Information falls within one or more of the foregoing exceptions, the remainder shall however continue to be subject to the prohibitions, restrictions and obligations set out in this Agreement.

3. General Provisions

3.1 This Agreement shall come into force upon execution by both Parties and shall continue thereafter for the duration of any contract, and thereafter.

3.2 Unless the rights and obligations of the Parties under the present Agreement shall be incorporated in a subsequent contract between them, the Parties shall, upon termination of this Agreement, immediately return all Confidential Information received from the other Party, together with any and all authorised copies or reproductions.

3.3 This Agreement shall be governed by the laws of the Republic of Ireland and the parties submit any dispute arising out of or in connection with this Agreement to the exclusive jurisdiction of the Irish Courts.

3.4 The Parties agree to perform the obligations listed in Clause 2 herein without any charge or expenses to the other, save for any expenses, legal or otherwise incurred by either Party as a direct result of the breach of this Agreement.

3.5 The Communicating Party does not warrant the accuracy or completeness of any Confidential Information disclosed to the Receiving Party. This undertaking shall be in addition to and not in substitution for any other right/rights available to the Communicating Party in any part/parts of the World and whether at law or by statute or otherwise. The Receiving Party acknowledges that any breach of this Agreement could result in serious damage being sustained by the Communicating Party and accordingly irrevocably waives any right they may have to oppose the granting of any equitable relief including injunctive relief sought by the Communicating Party in relation to any breach or suspected breach of this Agreement.
